11.1 Termination by Us

11.2 Termination by You

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the federal or state courts located in San Francisco County, California. You consent to the personal jurisdiction of these courts and waive any objection to venue.

13.3 Informal Dispute Resolution

Before filing a formal claim, you agree to contact us at support@larrynewsnetwork.com to attempt to resolve the dispute informally. We will work with you in good faith to reach a mutually acceptable resolution.

13.4 Arbitration Agreement

If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

• Arbitration will be conducted in San Francisco, California
• The arbitration shall be conducted by a single arbitrator
• The arbitrator's decision shall be final and binding
• Each party shall bear its own costs and fees
• For claims under $10,000, arbitration may be conducted by telephone or online

13.5 Class Action Waiver

13.6 Exceptions to Arbitration

Either party may seek equitable relief in court for:

• Intellectual property infringement
• Misappropriation of trade secrets
• Violations of the Computer Fraud and Abuse Act
• Claims for injunctive or equitable relief

13.7 Time Limitation on Claims

Any claim arising out of or related to these Terms or the Site must be filed within one (1) year after the claim arose. Otherwise, the claim is permanently barred.
